4. Project Engagement and Scope

5. Payment Terms

5.2 Payment Schedule

  • Payment terms are typically 14 days from invoice date

5.3 Refunds

Upon full payment, clients receive ownership of custom code and deliverables specifically created for their project, excluding any pre-existing IntraCode intellectual property or third-party components.

6.2 IntraCode Retention Rights

IntraCode retains rights to:

  • General methodologies, processes, and know-how
  • Pre-existing code libraries and frameworks
  • Generic solutions that can be applied to other projects
  • Use project experience for portfolio and marketing purposes (with client consent)

6.3 Third-Party Components

Projects may include third-party libraries, frameworks, or services. These remain subject to their respective licenses and terms of use.

7. Confidentiality and Data Protection

We maintain strict confidentiality regarding all client information and project details. Our data protection practices are outlined in our Privacy Policy and comply with Australian privacy laws.

Clients are responsible for ensuring they have appropriate rights to any data, content, or materials provided to IntraCode for use in their projects.

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed with professional skill and care. We will correct any defects in our work at no additional cost for a period specified in the project agreement (typically 30-90 days after delivery).

8.2 Disclaimers

Except as expressly stated, all services are provided "as is" without warranties of any kind. We do not guarantee:

  • Uninterrupted or error-free operation of delivered software
  • Compatibility with all third-party systems or future updates
  • Specific performance metrics or business outcomes
  • Protection against all security vulnerabilities

9. Limitation of Liability

To the maximum extent permitted by Australian law, IntraCode's total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

10. Termination

10.1 Termination by Client

Clients may terminate projects with written notice. Payment is due for all work completed up to the termination date, plus any non-cancellable expenses incurred.

10.2 Termination by IntraCode

We may terminate projects for non-payment, breach of terms, or if continuation becomes impractical. We will provide reasonable notice and deliver all completed work.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, pandemics, or infrastructure failures.

12. Governing Law and Disputes

These Terms are governed by the laws of Queensland, Australia. Any disputes will be subject to the exclusive jurisdiction of the courts of Queensland.

We encourage resolving disputes through direct communication and, if necessary, mediation before pursuing legal action.

13. Website Use and Acceptable Conduct
